§ 1 scope of application
(1) These Terms and Conditions of perdix gmbh (hereinafter “Seller”) apply to all contracts that the customer enters into with the Seller regarding the products and/or services presented in the Seller’s online store, and to all contracts that the business customer enters into regarding the products and/or services presented in the Seller’s printed catalog using individual means of distance communication (e.g., telephone, email, order form) to the exclusion of an online order form. The inclusion of the Customer’s own terms and conditions is hereby rejected, unless otherwise agreed.
(2) Customers as defined in Section 1.1 include both consumers and business owners, whereby a consumer is any natural person who enters into a legal transaction for a purpose that cannot be attributed to their commercial or self-employed professional activity. In contrast, an entrepreneur is any natural or legal person or a partnership with legal capacity that, when concluding a legal transaction, acts in the exercise of its independent professional or commercial activity.
§ 2 conclusion of the contract
(1) The product descriptions contained in the Seller’s online store and printed catalog do not constitute binding offers on the part of the Seller, but are intended to enable the Customer to submit a binding offer.
(2) For orders placed via the online store, the customer may submit the offer by telephone, in writing, by email, or via the online order form integrated into the seller’s online store. When placing an order via the online order form, the customer submits a legally binding contractual offer regarding the goods contained in the shopping cart after entering their personal data and clicking the “Order” button in the final step of the ordering process.
(3) For orders placed via the printed catalog, the entrepreneur as defined in Section 1.2 may submit the offer by telephone, in writing, or by email. For this purpose, the entrepreneur may use the order form attached to the catalog, which must be completed and sent to the seller by mail or email.
(4) The seller may accept the customer’s offer by means of a written (letter) or electronically transmitted order confirmation or by delivering the goods within two days. The seller is entitled to refuse to accept the order.
(5) For orders placed in the online store, order processing and communication generally take place via email and automated order processing. The customer must ensure that the email address provided for order processing is accurate so that emails sent by the seller can be received at this address. In particular, if using spam filters, the customer must ensure that all emails sent by the seller or by third parties commissioned by the seller to process the order can be delivered.
§ 3 return costs upon exercising the right of withdrawal
Consumers have the right to withdraw from the contract within 14 days of receiving the goods. The notice of withdrawal must be submitted to perdix in writing via email or letter. The date of dispatch of the notice of withdrawal is decisive for meeting the deadline. No reason for the withdrawal is required. The notice of withdrawal must be sent to

Exercising the right of withdrawal results in the conversion of the sales contract into a contract for the reversal of the transaction, pursuant to which the benefits received under the sales contract must be returned. § 4 prices and terms of payment
(1) For orders placed in the online store, the prices listed by the seller are final prices, i.e., they include all price components, including applicable sales tax. Any additional delivery and shipping costs, if applicable, are listed separately in the product description.
(2) For orders placed via the printed catalog, the prices listed by the seller are net prices, plus applicable VAT. Packaging and shipping costs, loading, and insurance (in particular, transport insurance) are billed separately.
(3) The seller generally delivers only within Switzerland and currently offers the following payment options, unless otherwise specified in the respective product description in the offer: prepayment (via bank transfer) or delivery on account (only for registered businesses and only for orders with a total value of CHF 500.00 or more).
(4) If international shipping is additionally offered for the respective product, the customer has the following payment options for international deliveries, unless otherwise specified in the respective product description in the offer: prepayment (via bank transfer) or delivery on account (only for registered businesses).
(5) For deliveries to countries outside Switzerland, additional costs may apply in individual cases, such as additional taxes and/or duties, for example in the form of customs duties.
(6) If payment in advance has been agreed upon, payment is due immediately upon conclusion of the contract.
(7) If the payment method “Delivery on account” is selected, the purchase price is due after the goods have been delivered and invoiced. In this case, the purchase price is payable without deduction within 10 (ten) days of receipt of the invoice, unless otherwise agreed. The Seller reserves the right to conduct a credit check when the “Delivery on Invoice” payment method is selected and to reject this payment method in the event of a negative credit check.
§ 5 delivery and shipping terms / delivery times
(1) Goods are generally shipped to the delivery address provided by the customer. For the purposes of processing the transaction, the delivery address specified in the seller’s order processing system shall be decisive.
(2) If delivery to the customer is not possible, the contracted carrier will return the goods to the seller, and the customer shall bear the costs of the unsuccessful delivery. This does not apply if the customer was temporarily prevented from accepting the offered service, unless the seller had notified the customer of the service a reasonable time in advance, or if the customer exercises their right of withdrawal as a result.
(3) In general, the risk of accidental loss and accidental deterioration of the sold goods passes to the customer or an authorized recipient upon delivery. If the customer is a business (acting in the course of their commercial or self-employed professional activity), the risk of accidental loss and accidental deterioration in the case of a sale by delivery passes to a suitable carrier upon delivery of the goods at the seller’s place of business.
(4) With respect to business customers, all agreed delivery times are subject to correct and timely delivery by the seller’s suppliers in cases where the seller has entered into a specific covering transaction and is not responsible for the lack of availability.
(5) With respect to business customers, if shipment of the delivery is delayed for reasons for which the business customer is responsible, the transfer of risk occurs upon notification to the business customer that the goods are ready for shipment. Any storage costs incurred after the transfer of risk shall be borne by the business customer.
(6) Delivery deadlines will be adhered to to the best of our ability. Any claims for compensation due to missed deadlines cannot be accepted.
§ 6 retention of title
The goods delivered by the Seller remain the property of the Seller until full payment has been made.
§ 7 liability for defects & complaints
If the purchased item is defective, the statutory provisions apply. Notwithstanding the foregoing:
a minor defect generally does not give rise to any claims for defects;
the seller may choose the method of subsequent performance;
for used goods, rights and claims arising from defects are generally excluded.

§ 8 liability / warranty
perdix gmbh, Zollhausstrasse 2, CH-6015 Lucerne (Commercial Register of the Canton of Lucerne CH-100.4.797.196-9, VAT ID CHE-232.786.920) provides the following manufacturer’s warranty of 2 to 5 years on perdix products. perdix gmbh also guarantees the availability of replacement parts for 20 years:
Subject to the terms and conditions set forth herein, we guarantee for a warranty period of two to five years (as specified on the order confirmation or invoice) from the date of delivery that products distributed by authorized dealers and bearing the “perdix” brand are free from defects in workmanship and materials when used for their intended purpose. This manufacturer’s warranty does not apply to products with a delivery date prior to May 1, 2016. It applies only in the member states of the European Union (EU) and the European Free Trade Association (EFTA) and only to customers who first purchased and put the product into service in an EU or EFTA member state.
The warranty is valid only on the condition that
the products are used in accordance with the specified product and application specifications (in particular as set forth in the data sheet, product brochure, product label, and similar documents);
the products have been installed and commissioned by a qualified professional (in accordance with the installation instructions included with the product);
maintenance and repair services on the products are performed exclusively in accordance with the manufacturer’s specifications;
services such as software upgrades or functional enhancements are performed exclusively by the manufacturer or a third party designated by the manufacturer;
the permissible limits for temperatures and voltages specified in the relevant technical standards or product-specific documentation are not exceeded;
the product is not subjected to any mechanical and/or chemical stresses beyond its intended use.
The warranty covers only product failures caused by proven material, design, or manufacturing defects that exceed the average rated failure rate. For electronic control gear or components such as LED modules, the average rated failure rate is 0.2% per 1,000 operating hours, unless the average rated service life and rated failure rate of the equipment or components are defined otherwise in the product and application specifications (in particular according to the data sheet, product brochure, and the like). The customer shall have no claims under this manufacturer’s warranty if he does not report the warranty claim within 30 days (receipt) of discovering the defect to the guarantor or to the respective perdix gmbh distribution company in the country where the product was first purchased and put into operation, in writing, enclosing a copy of the relevant purchase contract or invoice and appropriate proof of the defect.
If, following an inspection of the product, it is determined that a warranty claim has been met, the warranty provider may, at its discretion, repair the defective product, provide an equivalent product free of charge, or offer a price reduction. This warranty does not apply to product failures that have already been resolved under the warranty through replacement, repair, or price reduction. The warranty period does not restart upon fulfillment of the warranty.
Warranty claims are handled by the respective perdix gmbh sales company in the country where the product was originally purchased and put into service.
All replacement products or parts may contain new or recycled materials that are equivalent to new products or parts in terms of performance and reliability. The replacement product may differ from the original product in terms of dimensions and design. “Reconditioned materials” are parts or products that are used or refurbished and are not new. Although such parts or products are not new, their condition after refurbishment or repair is equivalent to new in terms of performance and reliability. The functionality of all replacement products or parts is equivalent to that of the product or part being replaced. Replacement products or parts are free from material defects or manufacturing defects for the remainder of the applicable warranty period for the product being replaced or in which they are installed.
The warranty does not cover
all incidental costs incurred in connection with the rectification of defects (fulfillment of warranty obligations) (such as costs for installation and removal, transportation of the defective and the repaired or new product, disposal, travel and travel time, lifting equipment, and scaffolding); these costs shall be borne by the buyer; Wear parts, such as all standard lamps, batteries/rechargeable batteries (emergency lighting elements), and hard drives; computers and servers that contain either hard drives or mechanical wear parts; Plastic parts, e.g., made of polycarbonate, to the extent that they discolor or become brittle due to the natural aging process; Electronic components, products, and luminaires that perdix gmbh distributes as merchandise, such as touch panels, printers, and computers under third-party labels, as well as luminaires from other manufacturers; Settings or parameterizations on systems that change due to wear, fatigue, or contamination; Product defects attributable to software errors, bugs, viruses, or similar issues; Services required from time to time, such as re-commissioning, software updates, etc.
An extended warranty, which includes coverage of the costs for disassembly and reassembly during the first 2 to 5 years, can be obtained by signing a separate maintenance contract. If you are interested, please contact your sales representative.
The warranty becomes void immediately if the customer or a third party performs any modifications, repairs, maintenance, or troubleshooting on the products without the prior written consent of the warranty provider.
Additional information regarding LED products: For LED modules, a decline in luminous flux of up to 0.6% per 1,000 operating hours is considered standard for the technology and is therefore not covered by the warranty. The color tolerance of LED modules is not covered by the manufacturer’s warranty. For a new LED module, the luminous flux and power are subject to a tolerance of +/-10%. All relevant technical data is listed in the product and application specifications (in particular in the data sheet, product brochure, and similar documents). In the case of subsequent deliveries of LED modules, deviations in the light properties compared to the original products may occur due to technical progress as well as usage-related changes in the luminous flux and light color of the products.
These warranty terms do not exclude, limit, or modify the customer’s statutory warranty rights.
In connection with the provision of warranty services, our liability—regardless of the legal basis—is governed exclusively by our General Terms and Conditions of Sale and Delivery, as amended at the time the warranty is granted, which are available for download at www.perdix.ch or may be requested from us by the customer. In all other respects, any liability for damages is excluded.
This warranty is governed by Swiss law, excluding the provisions of the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive venue for any disputes arising from this warranty is Lucerne, Switzerland.
The services are also explicitly listed in each product description and on the invoice. The service includes repairs, and the warranty guarantees that perdix gmbh can replace any defective components with spare parts. Services provided after the warranty period expires will be billed.
Note on liability regarding dimmer recommendations: perdix gmbh’s non-binding recommendations and notes are based on findings at the time of its own test results. Depending on the total connected load, cable lengths, mains conditions, and other influencing factors, different results may occur. perdix gmbh cannot accept responsibility for any changes or interim adjustments to certain standards for dimmers or newer-generation LED electronic components and therefore disclaims any liability for the recommendations provided.
§ 9 Swiss code of obligations
Unless these Terms and Conditions of Delivery contain specific provisions, the provisions of the Swiss Code of Obligations shall apply. Should any provision of these Terms and Conditions of Sale and Delivery be or become invalid, the remaining provisions shall remain unaffected.
§ 10 data protection
Data from companies or private individuals (hereinafter “Customer”), such as names, addresses, email addresses, and phone numbers, is collected directly from the Customer upon initial contact and used for order fulfillment and product promotion (inquiries, quotes, order confirmations, further correspondence, newsletters, product and promotional flyers); this may occur by phone, email, or via our website. This data is collected and stored internally and securely in a database or on our website’s server (located in Europe). The collected data is not shared with third parties.
To send the newsletter, the seller uses email addresses from the initial contact and email addresses obtained through independent research, which can be found on publicly available websites. The distribution and data management of the newsletter are handled by a mailing service provider. The newsletter content is delivered to the customer only after their consent; this is done via the double opt-in process. The customer has the option to unsubscribe from the newsletter at any time via a link. The corresponding notice is included in every newsletter. A log is generated for each newsletter dispatch; this records statistical surveys and analyses as well as online access.
To send paper-based promotional materials, the seller uses addresses obtained during the initial contact and addresses the seller has researched independently, which can be found on publicly available websites. The customer may opt out of the mailing list at any time.
